PLATFORM USAGE AGREEMENT

1. PARTIES, PURPOSE AND SUBJECT OF THE AGREEMENT

1. This Platform Usage Agreement is concluded between OwnerClick Inc. (OwnerClick) and natural and/or legal persons (User) who downloaded OwnerClick application from virtual application stores such as Apple App Store, Google Play Store, Huawei Mobile Services or who started using OwnerClick Platform (Platform) as a member from www.ownerclick.com site, under the following terms.

2. The phone numbers (if any) and e-mail addresses provided by the users while registering to the Platform are taken as basis for the notifications to be made. Users are obliged to notify OwnerClick of address, e-mail address and telephone changes within 3 (three) days. Otherwise, notifications to known addresses (phone, mail, etc.) are considered valid.

3. In this Platform Usage Agreement, the User and OwnerClick will be referred to separately as the "Party" and together as the "Parties".

4. The subject of the Platform Usage Agreement is to determine the conditions of all kinds of work and transactions that are already existing in the Platform and are developing with or without demand which will be offered to the Users by OwnerClick, and to determine the rights and obligations of the Parties in this regard.

5. All agreements, information and documents accepted and approved by the relevant User, including but not limited to the Privacy Policy and the Clarification Text on the Protection of Personal Data, submitted to the information and service of the Users within the OwnerClick Platform, are considered as annexes to this agreement; and in case of disagreement, they will be considered together.

6. This Platform Usage Agreement aims to regulate the relationship between OwnerClick and Users including but not limited to real or legal persons, Lawyers and Real Estate Experts who are members of the OwnerClick Platform and who are holding the title of Lessor in the lease agreement, whether they own the movable or immovable property or not. The relations between OwnerClick and the User shall be based on the agreement and other information and documents accessible through the Platform that are approved by the User.

7. Users accept that they have read and fully approved this Platform Usage Agreement and the information and documents annexed to the Platform Usage Agreement by registering the Application to the Platform via a mobile device or website.

8. OwnerClick and the User agree, declare and undertake to act in accordance with this Platform Usage Agreement and all the information and documents accepted as its annex, during the Platform membership and even if the membership is terminated. Users and visitors who do not accept this Platform Usage Agreement should not use the Platform and the services offered by Owner Click.

9. For the performance of services such as Paint, Whitewash, Construction, Cleaning, Law, which are offered or to be offered to the service of the Users through the OwnerClick platform, apart from this agreement for each transaction, various service contracts can be concluded between the OwnerClick and the User for each service, or an intermediary service upon the request of the User can be given. The provisions of the legislation regarding the services are reserved.

10. OwnerClick reserves the right to make changes to this Platform Usage Agreement and its annexes at any time by unilaterally publishing it on the Platform. The User accepts, declares and undertakes that these changes will be valid as of the date they are published on the Platform. The obligation to follow the changes and updates on the agreements and other information and documents is on the Users, and the changes are deemed to be accepted if the use of the Platform is continues.

2. GENERAL CONDITIONS FOR THE USE OF THE PLATFORM

1. The platform can be used by downloading it from the virtual stores or by accessing it through the website.

2. OwnerClick and Users agree, declare and undertake not to act contrary to general morality and public order, and to avoid practices and actions that would constitute a crime while using the Platform.

3. In the event that OwnerClick detects or be notified by the Users regarding Users actions that are contrary to the Article 2.2. of this agreement, OwnerClick reserves the right to file complaints and apply to the relevant authorities for the purpose of investigating, prosecuting, litigation/executive proceedings, and claiming compensation.

4. Users are obliged to provide reliable and sufficient information about themselves during registration to the Platform. Any responsibility that may arise regarding the information provided belongs to the User, and the User is obliged to keep this information up to date. OwnerClick reserves the right to request information, documents, explanations, changes and corrections and to take legal action if necessary.

5. OwnerClick may not accept the User's membership, terminate the accepted membership, and block access without giving any reason.

6. If OwnerClick considers it necessary, without any justification, OwnerClick may unilaterally terminate this Platform Usage Agreement without notice, partially or completely close the usage, or terminate access to the Platform.

7. Users accept, declare and undertake that they access the Personal Data they have submitted to the system in accordance with the law and that they are authorized to provide this information to OwnerClick and that this information can be processed by OwnerClick. The provisions of the Privacy Policy, which is accepted as an annex to the contract on Confidentiality and Protection of Personal Data, are reserved.

8. User is responsible for keeping the information that is used to login to the Platform such as username, e-mail address, social media account, password, pin etc. confidential and ensuring its security. OwnerClick cannot be held responsible for any loss or damage that may arise from the User's behavior contrary to this obligation. The user is obliged to notify OwnerClick immediately in cases such as hijacking of the account information other than his own fault, or unable to access to the account etc.

9. The Intellectual Property rights on all kinds of information, documents, software, codes, etc., that make up the Platform and concerns the Platform belongs to OwnerClick.

10. All responsibility for the content published by Users on the Platform belongs to the User. OwnerClick has no obligation to control the accuracy and legality of the information and documents uploaded to the Platform by the Users. In case of detection of illegal and contractual uses, Article 2.2. of the agreement is reserved.

11. OwnerClick has the right and authority to disable the Platform at any time without giving any reason. Users cannot make any claims that they have suffered damage due to shut down.

12. OwnerClick does not undertake any direct or indirect commitment within the scope of the services it provides to its Users. Written and verbal statements of OwnerClick, including but not limited to the services provided by OwnerClick on the Platform, the directions within the site, the site content, the campaign offers offered to the Users, cannot be accepted as a commitment.

3. MEMBERSHIP AND USAGE

1. Users become a member of the Platform by filling out membership registration information on the Platform. After the User becomes a member of the Platform, he/she creates a real estate record on the Platform by adding information about the rented/leased goods or the immovables that he/she mediates through a verbal and/or written lease agreement. The User, who creates the immovable record, creates a document called Lease Contract, which contains basic information about a tenancy relationship, by adding information such as the Tenant's information, rental price and rental period within the scope of the rental relationship regarding the real estate.

2. Users will be able to authorize other Users to use the Platform. All responsibility of the authorizations they will make over their own usernames belongs to the Users who have authorized them. OwnerClick do not have any supervision and control obligation over the specific authorizations the Users have made.

3. OwnerClick can make the User benefit from membership rights as a result of the evaluation made during the membership process, and has the right to cancel the application without giving any reason.

4. FORCE MAJEURE

1. Situations such as cyber attacks, natural disasters, strikes, epidemics that OwnerClick cannot foresee or prevent despite taking all precautions are considered force majeure. Due to force majeure, OwnerClick cannot be held responsible for not fulfilling its obligations arising from this Agreement. OwnerClick reserves the right to close the Platform from access and/or terminate the Agreement if the force majeure events last more than 30 days.

5. TERM AND TERMINATION

1. Users and OwnerClick will be bound by this Agreement and its annexes indefinitely, regardless of the frequency of use, frequency of access, open or closed access to the Platform.

2. Users will be able to cancel their Platform memberships and stop using the Platform at any time. If the User has made a cash payment, in case the User withdraws within the period of the advance payment, the discount and other fees provided to the User until the withdrawal date are deducted from the User and the refund amount is determined. OwnerClick's claim rights regarding paid services offered by OwnerClick are reserved if Users stop using the Platform.

6. COMMERCIAL ELECTRONIC MESSAGE

1. By approving this Agreement, the User accepts to receive campaigns, advantages, promotions, product and service promotions, advertisements, market research surveys and other customer satisfaction practices carried out by OwnerClick, using the e-mail address and phone number included in the membership information, or by OwnerClick over the Platforms. The User can always use the opportunity to refuse to receive commercial electronic messages free of charge by contacting OwnerClick via OwnerClick's info@ownerclick.com e-mail address. Using the right of refusal does not prevent the notifications that are required to be sent to the Users in accordance with the provisions of the relevant legislation to which OwnerClick is subject.

7. OTHER MATTERS

1. The application of this Agreement is essential in disputes between the parties. General legislative provisions shall apply to any disputes not regulated in this Platform Usage Agreement and its annexes.

2. In disputes that may arise between the parties, it is agreed between the parties that the electronic records, commercial books and all information and documents kept by OwnerClick in its databases will constitute final and exclusive evidence.

8. ENFORCEMENT

1. This Platform Usage Agreement will enter into force as soon as it is electronically approved by the User and will remain in effect indefinitely.
